Open Format Philly - Terms of Service

Welcome to Open Format Philly. By accessing our website (openformatphilly.com), purchasing a membership, or using our facilities, you agree to these Terms of Service. These terms are a legal agreement between you ("the Member") and ThisLabs Co (doing business as Open Format Philly).

1. The Service

Open Format Philly is a dedicated rehearsal and creative space for DJs and electronic music producers in Philadelphia. We provide studio access, equipment rental, and educational workshops.

2. Founding Member Membership (Pre-Launch)

We are currently in a "Pre-Launch" phase. By purchasing a Founding Member membership, you agree to the following specific terms regarding your benefits:

• Activation Date: While you pay for the membership today to secure your spot, the time-based perks (such as studio discounts) do not activate until our official Grand Opening.
• Duration of Perks: The specific Founding Member discounts (50% off studio time and workshop discounts) are valid for exactly one (1) year (12 months) starting from the date of the Grand Opening.
• Expiration of Perks: After this one-year period concludes, your specific Founding Member discounts will expire. You will then need to transition to a standard membership plan at the current market rate to continue using the facilities.
• Permanent Perks: The "Name Engraving" perk is permanent and does not expire after one year, provided the studio remains in operation.
• Non-Transferable: Founding Member memberships are tied to the individual purchaser and cannot be resold or transferred to another person.

3. Payments and Refunds

• Pre-Launch Sales: Funds collected from Founding Memberships are used to secure the facility and equipment. Therefore, Founding Membership fees are non-refundable, regardless of delays in the construction or opening timeline.
• Studio Bookings: Once the studio is open, payment for hourly or daily sessions is due at the time of booking. Cancellation policies for specific bookings will be posted in our booking portal.

4. Studio Rules & Conduct

To maintain a professional environment, all members agree to:

• Respect the Gear: You are financially responsible for any damage caused to equipment due to negligence, misuse, or spilled drinks. Failure to respect the space and its equipment may result in termination of the membership without refund.
• Guest Policy: Members may bring guests as outlined in their specific membership tier. You are fully responsible for the conduct and safety of your guests.
• Zero Tolerance: We have zero tolerance for harassment, discrimination, or illegal activities within the space. Violation of this results in immediate termination of membership without refund.

5. Liability and Early Access

• Construction Phase: Founding Members may be invited to early access “hard hat” events while the space is being built out. By attending, you acknowledge that the space is under construction and assume all risks associated with entering a work-in-progress environment.
• General Liability: ThisLabs Co is not liable for any personal injury, lost property, or theft that occurs on the premises, except where caused by our gross negligence.

6. Intellectual Property

• Our Content: The Open Format Philly logo, website design, and brand assets belong to ThisLabs Co.
• Your Content: You retain full ownership of any music, sets, or podcasts you record or stream within the space.

7. Changes to Terms

We may update these terms as we move from the Pre-Launch phase to the Grand Opening. We will notify active members of any significant changes via email.
